1. Description of Service

Worx is an AI-powered diagnostic assistance tool for heavy equipment and machinery. The Service allows users to describe equipment problems, upload images and audio, receive AI-generated research and troubleshooting checklists, and obtain diagnostic conclusions. The Service is designed to assist — not replace — qualified technicians and professional judgment.

2. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Account Registration

To use the Service you must create an account by providing your name, email address, and a password. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Liability Waiver

Before using diagnostic features, you are required to review and accept our liability waiver. The waiver describes the inherent limitations of AI-generated diagnostic advice and your acknowledgment that the Service does not replace professional inspection, repair, or safety protocols. Your acceptance is recorded with your electronic signature, IP address, and timestamp.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Upload content that is harmful, offensive, infringing, or violates any third party's rights
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems
• Interfere with or disrupt the integrity or performance of the Service
• Reverse-engineer, decompile, or disassemble any part of the Service
• Use automated means (bots, scrapers, etc.) to access the Service without our prior written consent
• Resell, redistribute, or commercially exploit the Service or its outputs without authorization

6. AI-Generated Content Disclaimer

The diagnostic research, troubleshooting checklists, and diagnosis conclusions provided by the Service are generated by artificial intelligence models. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You acknowledge and agree that:

• AI outputs are advisory only and do not constitute professional engineering, mechanical, or safety advice
• You should always verify AI-generated recommendations with a qualified technician before performing repairs or maintenance
• You assume full responsibility for any actions taken based on the Service's outputs
• Following AI-generated troubleshooting steps without proper training or safety precautions may result in injury, equipment damage, or other harm
• Diagnostic confidence levels and severity ratings are estimates and should not be relied upon as definitive assessments

7. User Content

You retain ownership of all content you submit to the Service, including problem descriptions, images, audio recordings, equipment data, and feedback ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and transmit your User Content solely for the purpose of providing and improving the Service. This includes sending your data to third-party AI providers to generate diagnostic outputs.

8. Intellectual Property

The Service, including its design, software, algorithms, branding, and documentation, is owned by Liftworx Labs and protected by applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

10. Service Availability

We strive to keep the Service available at all times but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

11. Limitation of Liability

To the maximum extent permitted by law, Liftworx Labs and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, including but not limited to:

• Equipment damage or personal injury resulting from actions taken based on AI-generated diagnostic outputs
• Loss of data, revenue, or business opportunities
• Inaccurate, incomplete, or misleading AI-generated content
• Service interruptions or unavailability

Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be error-free, that AI-generated outputs will be accurate or complete, or that defects will be corrected.

13. Indemnification

You agree to indemnify, defend, and hold harmless Liftworx Labs and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Account Termination

We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. You may delete your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

15. Changes to These Terms

We may revise these Terms at any time by updating this page. When we make material changes, we will update the "Effective Date" at the top. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware.
